Antidote AI, by Nine Spot Seven · Beta · Effective: 27 July 2026
These Terms of Service (“Terms”) govern your use of Antidote AI (“Antidote”), a software product operated by Nine Spot Seven (“we”, “us”), Mumbai, India. By creating an account or using Antidote you agree to these Terms. If you use Antidote on behalf of a firm, you confirm you are authorised to bind that firm.
1. A tool for financial professionals
Antidote is a business-to-business intelligence and information tool intended exclusively for financial professionals — mutual fund distributors, SEBI-registered investment advisers, and similar intermediaries. It is not offered to, and must not be used by, retail investors. You represent that you are such a professional and that your use of Antidote complies with the regulations applicable to you, including applicable SEBI regulations and AMFI codes of conduct.
2. Not investment advice
Antidote provides macro and portfolio-context information and analytical tools. It does not provide investment advice, recommendations, buy/sell/hold calls, target prices, or assured or predicted returns — to you or to your clients. You, the advisor, retain sole and full responsibility for any advice, recommendation, or communication you make to your clients, including any summary or brief you choose to forward to them. Nothing in Antidote’s output relieves you of your own regulatory, suitability, and disclosure obligations. Nine Spot Seven is not registered with SEBI as an investment adviser, research analyst, or in any other capacity.
2a. Use of artificial intelligence
Portions of Antidote’s output are generated with the assistance of artificial-intelligence tools (large language models operated by third-party providers) applied to publicly available data and deterministic rules — including extraction of holdings from statements you upload and drafting of narrative text. AI-generated content can contain errors or omissions. You must independently verify output before relying on it or communicating it onward. Your uploaded data is never used to train or fine-tune AI models.
3. Beta disclaimer
Antidote is currently in beta. It is provided as is and as available, without warranties of any kind, express or implied. Features may change, be interrupted, or be withdrawn without notice. Data shown — including prices, holdings compositions, macro releases, and third-party commentary references — is drawn from public sources and may be delayed, incomplete, or contain errors. You must independently verify any data point before relying on it in client-facing work.
3a. Fees
During the beta, Antidote is provided free of charge, on a test and evaluation basis. If paid plans are introduced in the future, we will update these Terms with billing provisions and notify you before any charge applies.
4. Your account and acceptable use
You agree that you will not:
- share your account or credentials, or provide access to Antidote to any third party, including end investors;
- scrape, crawl, bulk-export, or systematically extract data or content from Antidote;
- reverse engineer, decompile, or attempt to derive the source code, models, rules, or data pipelines underlying Antidote;
- resell, redistribute, or white-label Antidote or its output as a standalone product or service;
- use Antidote to generate communications that present its output as investment advice from Nine Spot Seven, or remove compliance notices from generated briefs;
- upload data you are not lawfully entitled to process (see Section 5).
5. Client data you upload
You may upload client portfolio information (holdings, values, statements) to generate briefs. You warrant that you have obtained all consents and have the lawful basis required — including under the Digital Personal Data Protection Act, 2023 — to share that data with us for this purpose. We process uploaded client data only to provide the service to you, as described in our Privacy Policy.
6. Intellectual property
Antidote — including its software, design, rules engines, data pipelines, and generated brief formats — is and remains the property of Nine Spot Seven. We grant you a limited, non-exclusive, non-transferable licence to use Antidote for your professional practice during the beta. You retain ownership of the client data you upload. Third-party data and disclosures referenced in briefs remain the property of their respective sources and are attributed accordingly. Suggestions, feedback, and improvement ideas you share during the beta — and improvements derived from them — are assigned to and vest in Nine Spot Seven, without compensation.
5a. Third-party sources and links
Briefs and the Platform reference and may link to third-party data, disclosures, and publications. These are provided for convenience and attribution. Nine Spot Seven does not endorse and is not responsible for the content, accuracy, or availability of any third-party website, service, or publication, and referencing a source is not a representation about the merits of anything it describes.
6a. Confidentiality
Beta access is confidential. Non-public aspects of Antidote — its features, methodology, data pipelines, screens, output formats, pricing discussions, and any materials shared with you as a beta participant — are the confidential information of Nine Spot Seven. You agree not to disclose, publish, or share them with anyone outside your firm (including on social media), and not to use them for any purpose other than evaluating and using Antidote in your practice. Briefs you generate may be used in your own one-to-one client conversations as the service intends; public posting of Platform output or screenshots requires our prior written consent. We likewise keep your non-public information and uploaded data confidential, as described in the Privacy Policy. These obligations survive for three years after your access ends.
7. Limitation of liability
To the maximum extent permitted by law, Nine Spot Seven shall not be liable for any indirect, incidental, special, or consequential loss, loss of profits, loss of business, or claims by your clients arising from your use of Antidote or reliance on its output. Our aggregate liability for all claims relating to the service shall not exceed the amounts paid by you to us in the twelve months preceding the claim (or INR 10,000 if you have paid nothing during the beta). Nothing in these Terms limits liability that cannot be limited under Indian law.
8. Suspension and termination
We may suspend or terminate beta access at any time, including for breach of these Terms. You may stop using Antidote and request deletion of your account and uploaded data at any time.
9. Changes to these Terms
We may update these Terms during the beta. We will notify account holders of material changes by email or in-product notice. Continued use after the effective date constitutes acceptance.
10. Governing law and jurisdiction
These Terms are governed by the laws of India. The courts of Mumbai, Maharashtra shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the service.
